Rules governing the use of VGSPOT intellectual property consulting services and the associated digital platform.
VGSPOT provides patent registration pipeline management, proprietary asset evaluation, and regulatory alignment advisory under Canadian Intellectual Property Office (CIPO) standards. All deliverables are prepared for corporate clients and do not constitute legal representation unless separately retained.
The client must supply accurate and complete technical disclosures, prior art references, and ownership documentation. Failure to disclose material information may result in rejection of a patent application or invalidation of granted rights. VGSPOT is not liable for deficiencies in client-provided data.
VGSPOT’s aggregate liability arising from any engagement is limited to the fees paid for the specific service giving rise to the claim. In no event shall VGSPOT be liable for indirect, incidental, or consequential damages, including loss of business opportunity or IP value, even if advised of the possibility.
All methodologies, evaluation frameworks, and proprietary tools developed by VGSPOT remain the firm’s intellectual property. Deliverables prepared for a client are licensed for the client’s internal use only. No assignment of VGSPOT’s underlying IP is granted unless expressly agreed in writing.
Either party may terminate an engagement with 30 days’ written notice. VGSPOT may suspend services immediately if the client fails to meet payment obligations or breaches confidentiality terms. Upon termination, the client must return or destroy all confidential materials received.
VGSPOT reserves the right to update these terms at any time. Registered clients will be notified of material changes via the contact email on file. Continued use of services after the effective date constitutes acceptance of the revised terms.
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved through binding arbitration in Toronto, Ontario, unless the parties agree otherwise in writing.
